The Reserve Bank of India has sanctioned the Scheme of Amalgamation of Indian branches of Emirates NBD Bank P.J.S.C. (Transferor Bank) with RBL Bank Limited (Transferee Bank). The Scheme has been sanctioned in exercise of the powers contained in sub-section (4) of Section 44A of the Banking Regulation Act, 1949. The effective date of the amalgamation shall be December 01, 2026. All the Indian branches of Emirates NBD Bank P.J.S.C. will function as branches of RBL Bank Limited with effect from December 01, 2026. (Brij Raj) Chief General Manager Press Release: 2026-2027/1342

Effective Date and Branch Transition

The statutory amalgamation takes effect on December 01, 2026:

  • Branch Rebranding & Continuity: All existing Indian branches of Emirates NBD Bank P.J.S.C.—located in key commercial centres including Mumbai, Gurugram, and Chennai—will cease standalone operations and function as fully integrated branches of RBL Bank Limited.
  • Seamless Customer Transfer: Assets, wholesale liabilities, credit lines, deposits, and corporate relationships held across Emirates NBD’s Indian branch network will be novated and absorbed directly onto RBL Bank’s balance sheet without disruption to depositor or borrower contracts.

Why it matters

Strategic Context and Regulatory Compliance

This branch amalgamation represents the final regulatory phase of Emirates NBD’s landmark transaction to acquire a 60% controlling promoter stake in RBL Bank via a ₹26,000 crore (~$3 billion) primary equity infusion completed earlier in 2026.

Under RBI supervisory frameworks, a foreign promoter bank acquiring control of a domestic scheduled commercial lender cannot maintain a parallel, competing standalone branch presence in India. Folding the UAE lender’s Indian branches into RBL Bank eliminates regulatory dual-presence conflicts, unifies capital adequacy tracking, and establishes a single corporate and trade-finance platform connecting India and the GCC corridor.
