300M–500M USD Senior Dollar Bonds $500 Million Offshore Dollar Bond After 6-years

YES Bank Limited has officially appointed global investment bank arrangers and initiated international investor roadshows to launch its first US Dollar-denominated senior bond offering since its 2020 RBI-led bailout.

The proposed benchmark issuance—targeting 300millionto300millionto500 million in 3-year senior unsecured notes—marks the lender's return to global debt capital markets after a six-year hiatus.

Credit Ratings & Proposed Issuance Terms

International credit rating agencies have assigned preliminary ratings to the proposed dollar note:

  • Moody’s Ratings: Assigned a Ba1 rating.
  • S&P Global Ratings: Assigned a BB+ rating (both one notch below investment grade).

The funds raised will diversify YES Bank's wholesale liability profile and support its expanding foreign currency lending book via its IFSC GIFT City branch.

The 2020 AT1 Write-off Legal Overhang

A central evaluation point for international fixed-income investors is the legacy of YES Bank's March 2020 reconstruction, during which ₹8,415 crore of Additional Tier 1 (AT1) bonds were permanently written off.

While the Bombay High Court quashed the write-down order in January 2023, the decision was stayed by the Supreme Court of India and remains under active litigation. Global credit investors are evaluating whether senior unsecured debt risk can be insulated from the ongoing AT1 legal proceedings.

Balance Sheet Recovery & Strategic Backing

The timing of the offshore bond offering coincides with significant improvements in YES Bank’s fundamental metrics:

  • Asset Quality Turnaround: Net Non-Performing Assets (NNPA) have declined below 0.5%, supported by improving Return on Assets (RoA).
  • Institutional Backing: Strategic investment interest from Japan’s Sumitomo Mitsui Financial Group (SMFG) has reinforced international investor confidence.
  • Macro Timing: The issue capitalizes on recent RBI policy measures designed to encourage foreign capital mobilization and stabilize external balance sheets.

Why it matters

Financial & Market Outlook

In global debt capital markets, institutional memory regarding written-off debt is long, but balance-sheet turnaround metrics ultimately dictate final coupon pricing.

Successfully placing $300M+ in senior dollar notes with international institutional accounts will establish a fresh credit benchmark, confirming that global markets view YES Bank's governance and capital structure as fully rehabilitated.
