PhonePe has filed its updated Detailed Red Herring Prospectus (DRHP) with SEBI, marking the formal start of India's most anticipated fintech IPO. The company is targeting a $15 billion valuation and plans to raise $1.5 billion through the public offering.

The scale of PhonePe's dominance in digital payments is unambiguous. It serves 657 million registered users and processes 48% of India's UPI transactions—a commanding share of the country's real-time payment infrastructure.

The IPO represents a significant exit opportunity for major shareholders. Walmart, Tiger Global, and Microsoft are among the stakeholders preparing to sell stakes as the company moves toward public markets.

PhonePe's path to IPO contrasts sharply with Paytm's troubled 2021 debut. The company enters this round with profitability within reach and a market-leading position in UPI, reducing the regulatory and investor skepticism that surrounded its rival.

The timing slots PhonePe into a busy IPO calendar for Indian startups. Following Meesho, Groww, and Urban Company, 2026 is emerging as a significant year for fintech and startup public listings.

Why it matters

For DSAs and loan distribution networks, PhonePe's IPO validates the depth and stickiness of India's digital payment layer. A 657-million-user base with 48% UPI market share represents enormous potential for embedding lending products—whether through co-branded loans, credit lines, or referral partnerships. Fintech profitability at scale also signals that players can service borrowers and lenders profitably, not just scale user bases.

Banking partners and NBFCs watching PhonePe's valuation and exit appetite will recalibrate their own fintech distribution strategies. A successful IPO at this scale demonstrates investor appetite for profitable, UPI-centric financial services—directly encouraging banks and lenders to deepen their own digital-first lending partnerships and co-marketing deals with fintech platforms.
